Win XP32 and Win XP64 sharing Bionic directory

Would there be any problems if I install Bionic in Win XP64 (dual boot), in the same directory as the Win32 install. I would like to keep Bionc busy while I am running XP64, then fall back to the 32 bit version (default) so that the work units don't stall in the 64 bit version.

There shouldn't be any problems as you'll be running exactly the same BOINC client as well as scientiffic binaries. You just have to install the same version of BOINC on both OSes and the only reason to do install on both OSes is that BOINC uses a couple of registry entries under Windows. Otherwise you could do install only under one OS and simply run it under the other.

You could get into problems if you'd try to share install between different OSes and/or different platforms (eg. Windows/Linux on i686 or say linux on i686/AMD64).
